Limited Liability Company (SRL)
are the most popular “vehicles” for carrying on business activities
A SRL can have between 1 to 50 Shareholders (naturalor legalpersons) and a minimum share capital of 50 EUR ( 200 RON), the associates being liable in the limit of their contributions. The share capital must subscribe in total at the incorporation date, regardless of the type of the contribution.
Joint-stock company (SA)
a SA must have at least 2 Shareholders and a minimum share capital of 25.000 EUR (90.000 RON)
At least 30% ofthe subscribed share capital of a SA, must be contributed at the incorporation ofthe company.The share capitaldifference of 70% shall be contributed within 12 month since establishment date, for cash contribution or maximum 2 years since establishment for contributions in kind.
Branches are not legal entities, but subsidiaries of Romanian or foreign companies, subject to registration with the relevant Trade Registry. The registration of a branch follows almost the same procedure as for the SRL and can only operate in the same field of activity as their parent companies.
Foreign companies and economic entities may open Representative Offices in Romania, subject to authorization by the Ministry of Economy and Commerce. Representative Offices is not a legal entity and cannot commit trade activities in its own name, usually performing marketing and promotion activities for parent company.
